Acceptance of Terms
By accessing and using the CertPulse platform, website, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not access or use the Services. CertPulse reserves the right to modify these Terms at any time. Your continued use of the Services following any modification constitutes your acceptance of the updated Terms.
License and Use Restrictions
We grant you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes, subject to these Terms. You agree not to: (a) reverse engineer, decompile, or attempt to derive the source code of our Services; (b) remove or alter any proprietary notices or labels; (c) use the Services for any unlawful purpose or in violation of any applicable laws; (d) access or search the Services by any means other than our publicly supported interfaces; (e) transfer your account to any third party; or (f) use the Services to monitor or compete with our business.
User Content and Certificate Data
You are solely responsible for all data you input into CertPulse, including certificate metadata, domain names, infrastructure details, and account information ("User Content"). By providing User Content, you grant CertPulse a worldwide, non-exclusive, royalty-free license to use, store, process, and analyze such content for the purpose of providing and improving the Services. You represent and warrant that you own or have the necessary rights to all User Content and that its use does not infringe any third-party rights.
Service Availability and Support
CertPulse strives to maintain continuous platform availability but does not guarantee uninterrupted access or error-free operation. We may perform scheduled maintenance, system upgrades, or other changes that may temporarily reduce or suspend Services. We will attempt to provide advance notice for scheduled maintenance. We are not liable for any unavailability or interruption of Services, including those resulting from our negligence, except as specifically provided in our Service Level Agreement (if applicable to your plan).
Fees and Payment
Pricing for CertPulse Services is listed on our website and varies by plan. By subscribing to a paid plan, you authorize us to charge your billing method on a recurring basis according to your subscription term. Billing occurs at the beginning of each billing period. Failure to pay fees may result in suspension or termination of your account. Price changes will be provided with 30 days' notice. Refunds are generally not available except as required by law or as specified in our refund policy.
Intellectual Property Rights
CertPulse retains all right, title, and interest in the Services, including all underlying technology, features, functionality, and intellectual property. Our trademarks, logos, service marks, and trade names are the property of CertPulse or our licensors. You may not use any CertPulse intellectual property without our prior written consent. Nothing in these Terms grants you any ownership interest in the Services or our intellectual property.
Limitations of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CERTPULSE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR LOSS OF USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE TOTAL LIABILITY OF CERTPULSE FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM. Some jurisdictions do not allow the exclusion or limitation of certain damages, so this limitation may not apply to you.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. CERTPULSE DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. You use the Services at your own risk.
Indemnification
You agree to indemnify, defend, and hold harmless CertPulse, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from: (a) your use of the Services; (b) violation of these Terms; (c) infringement of any third-party intellectual property or privacy rights caused by your User Content; or (d) any illegal activity or conduct under applicable law. CertPulse will provide notice of any such claim and cooperate with your defense, at your expense.
Termination
Your account is active until terminated by you or by CertPulse. You may terminate your account at any time by contacting support or deleting your account in the dashboard. CertPulse may terminate or suspend your account immediately if: (a) you breach any material term of these Terms; (b) you engage in fraudulent or illegal activity; (c) you violate applicable law; or (d) we determine termination is necessary to protect our systems or other users. Upon termination, your license to use the Services ceases immediately. We may retain data for backup and legal compliance purposes.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflicts of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco, California. You agree to submit to the personal jurisdiction of such courts and waive any objection to venue. For claims under $10,000, either party may elect to resolve the dispute through binding arbitration administered by JAMS.
